Terms of Service

IMPORTANT — PLEASE READ CAREFULLY: This document is a binding legal agreement between you and Leadder. By registering an account, accessing the Platform, or clicking "I Agree", you represent that you have read, understood, and agreed to these Terms in full. Pay particular attention to Sections 8 (Disclaimer), 9 (Limitation of Liability), 10 (Indemnification), 15 (Dispute Resolution), and 16 (Governing Law), which significantly affect your legal rights.
1. Parties and Definitions
1.1. Parties
- Service Provider: CZ Partners Reklam Teknoloji Eğitim Danışmanlık Ltd Şti, a limited liability company organized under the laws of Türkiye, Mersis No: 0216154593500001, Tax ID: 2161545935, registered office at Esentepe Mah. Büyükdere Cad. Levent 199 No: 199 İç Kapı No: 6 Şişli/İstanbul, Türkiye ("Leadder", "we", "us", "our").
- User / Customer: The natural person or legal entity that registers an account and uses the Platform ("User", "you", "your").
1.2. Definitions
- Platform: All web and mobile applications, APIs, and integrations provided under the leadder.co domain.
- Services: Advertising campaign management, lead collection, conversion optimization, growth automation, reporting, and all related functions.
- Advertising Platform: Meta Platforms (Facebook, Instagram), Google Ads, TikTok Ads, LinkedIn Ads, and other third-party advertising networks.
- Connected Accounts: Advertising platform accounts you connect via OAuth/Business Login.
- End User: A third-party natural person who responds to your advertisements.
- Lead Data: Personal data collected from End Users.
- Subscription: Your right to use the Platform under a specific plan.
- Agreement: These Terms together with the Privacy Policy, Cookie Policy, Data Processing Agreement (DPA), and other legal notices on the Platform.
1.3. Formation of Contract — Click-Wrap Acceptance
This Agreement is formed electronically when you check the box stating "I have read, understood, and agree to the Terms of Service, Privacy Policy, Data Processing Agreement (DPA), and Cookie Policy" and click "Create Account" or the equivalent button at signup.
This formation method is valid and enforceable under the Turkish Code of Obligations (TBK) Art. 14, Turkish Electronic Commerce Law No. 6563, U.S. E-SIGN Act (15 U.S.C. § 7001), UETA, EU eIDAS Regulation (910/2014), UK Electronic Communications Act 2000, and GDPR Article 28(9).
Enterprise customers may request a separately signed PDF version; if so, the signed PDF takes precedence.
2. Scope of Services
- Creating, managing, pausing, and analyzing ad campaigns on Meta, Google, TikTok, and LinkedIn
- Lead generation form configuration and centralized lead data management
- Conversion tracking and optimization
- Ad budget planning, monitoring, and alerting
- Cross-platform performance analytics
- Growth campaigns: customer acquisition, revenue growth, user growth, retention
- Audience management — custom and lookalike audiences
3. Eligibility and Account Registration
3.1. Eligibility
Must be at least 18 years of age; if registering on behalf of an entity, must have authority to bind; all registration information must be accurate; must not be in a sanctioned jurisdiction.
3.2. Account Security
Responsible for safeguarding credentials and all activities under your account; must notify Leadder immediately of unauthorized access; MFA strongly recommended.
3.3. Third-Party Account Connections
OAuth connections must use accounts you own or have authority to manage, comply with platform terms, and use only the necessary access scope.
4. Subscription, Fees, and Payment
4.1. Plans and Pricing
Published at leadder.co/pricing. Plan changes take effect at the start of the next billing cycle.
4.2. Payment
Processed through PCI-DSS certified processors (Stripe); card details not stored by Leadder; applicable taxes added; failed payments may result in suspension; amounts in USD.
4.3. Auto-Renewal
Subscriptions automatically renew unless canceled at least 24 hours before the renewal date. Annual subscription renewal reminders sent 30 days in advance where required by law.
4.4. Refund Policy
Once delivery of digital content has commenced, statutory withdrawal rights generally cease. At Leadder's discretion: monthly subscriptions — full refund within 7 days of invoicing; annual subscriptions — prorated refund excluding current and elapsed months. Contact billing@leadder.co; response within 14 business days.
4.5. Advertising Spend
Costs charged directly by advertising platforms to your ad accounts. Leadder is not responsible for advertising costs and does not collect them. Leadder collects only Platform subscription fees.
5. User Obligations and Representations
5.1. Acceptable Use
You agree NOT to:
- Use the Platform unlawfully or fraudulently
- Publish misleading, deceptive, or fraudulent advertising
- Infringe third-party intellectual property rights
- Distribute spam, malware, or phishing content
- Attack or circumvent Platform security
- Reverse engineer or attempt to extract source code
- Use the Platform to develop a competing service
- Resell, sublicense, or transfer your account without written consent
5.2. Advertising Content Responsibility
You are solely responsible for the legality of all advertising content and must comply with all applicable advertising laws, consumer protection laws, industry-specific regulations, and the advertising policies of each platform (Meta Advertising Standards, Google Ads Policies, TikTok Ad Policies, LinkedIn Ads Policies).
5.3. Data Protection Obligations (Critical)
Where you collect personal data from End Users, YOU are the Data Controller / Business. You bear all obligations including: providing required privacy notices; obtaining valid consent; maintaining your own privacy policy; complying with marketing consent laws (TCPA, CAN-SPAM, CASL, PECR/ePrivacy, İYS); registering with applicable data protection authorities (VERBİS in Türkiye); responding to End User rights requests. Leadder acts solely as your Data Processor.
5.4. Export Control and Sanctions
You represent you are not in a sanctioned country and not on any restricted parties list.
6. Intellectual Property
6.1. Leadder's Rights
Platform owned by Leadder or its licensors. Limited, non-exclusive, non-transferable, revocable license granted. All rights not expressly granted are reserved.
6.2. User Content
Data and content you upload remain your property. You grant Leadder a limited, worldwide, royalty-free license to host/store/process/transmit/display User Content solely as necessary to provide Services.
6.3. Feedback License
Suggestions and feedback are non-confidential. You grant Leadder a perpetual, irrevocable, royalty-free, worldwide license to use such feedback.
6.4. DMCA / Copyright Infringement
Report to legal@leadder.co with: identification of the copyrighted work, identification of infringing material, contact information, statement of good-faith belief, statement under penalty of perjury of authorization, and physical or electronic signature.
7. Service Availability and Changes
Leadder may temporarily suspend or limit service for maintenance, updates, security, or operational reasons. Leadder reserves the right to modify, add, or discontinue features and pricing; material changes communicated at least 30 days in advance.
8. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE PLATFORM IS PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. LEADDER SPECIFICALLY DISCLAIMS: implied warranties of merchantability and fitness for a particular purpose; that the Platform will be uninterrupted or error-free; that advertising campaigns will achieve specific performance outcomes; that leads will be of any specific quality or value.
9. Limitation of Liability
9.1. Liability Cap
LEADDER'S TOTAL CUMULATIVE LIABILITY SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU ACTUALLY PAID TO LEADDER IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (USD $100).
9.2. Excluded Damages
LEADDER SHALL NOT BE LIABLE FOR INDIRECT, CONSEQUENTIAL, INCIDENTAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, LOST PROFITS, LOST REVENUE, BUSINESS INTERRUPTION, DATA LOSS, OR DAMAGES FROM ACCOUNT SUSPENSION BY THIRD-PARTY PLATFORMS.
9.3. Exceptions
Limitations do NOT apply to: gross negligence or willful misconduct; personal injury, death, or fraud; statutory consumer rights; confidentiality obligations; intellectual property infringement.
10. Indemnification
You agree to defend, indemnify, and hold harmless Leadder from claims arising out of or related to: your breach of this Agreement; your advertising content or its illegality; your failure to fulfill Data Controller obligations; End User data subject claims; your violation of marketing consent laws; your violation of third-party platform terms; misleading or deceptive advertising.
11. Term and Termination
11.1. Termination by You
Cancel via account settings or email to privacy@leadder.co. Takes effect at end of the current billing period.
11.2. Termination by Leadder
Immediately upon: material breach; illegal/fraudulent/abusive use; failure to pay fees; suspected fraud; inclusion on sanctions list.
11.3. Effects
Access ceases; OAuth tokens revoked; data deletion begins per Privacy Policy Section 18; outstanding fees immediately due. Sections 6, 8, 9, 10, 12, 15, and 16 survive.
12. Confidentiality
Each Party agrees to use Confidential Information solely to perform under this Agreement and not disclose it to third parties. Obligations survive for 5 years after termination.
13. Force Majeure
Neither Party liable for delays or failures caused by natural disasters, war, terrorism, pandemics, governmental actions, internet infrastructure failures, or third-party platform outages. If the event continues more than 60 days, either Party may terminate.
14. Changes to This Agreement
Material changes notified at least 30 days in advance via email or in-Platform notification. Continued use after the effective date constitutes acceptance.
15. Dispute Resolution
15.1. Informal Resolution
Contact legal@leadder.co first. Negotiate in good faith for at least 30 days.
15.2. Class Action Waiver (U.S. Users)
To the extent permitted by applicable law, U.S. Users agree that disputes shall be brought in individual capacity only.
16. Governing Law and Jurisdiction
Governed by the laws of the Republic of Türkiye. Consumer Users' mandatory local consumer protection rights prevail to the extent more protective. EU consumers may bring proceedings in courts of their member state. Business/enterprise Users: Istanbul (Çağlayan) Courts and Enforcement Offices, Türkiye, have exclusive jurisdiction.
17. General Provisions
- Severability: If any provision is held invalid, remaining provisions continue in full force.
- Assignment: You may not assign without prior written consent. Leadder may assign in connection with merger, acquisition, or sale of assets.
- No Waiver: Failure or delay to enforce any right is not a waiver.
- Entire Agreement: This Agreement, together with the Privacy Policy, Cookie Policy, and DPA, constitutes the entire agreement.
- Translations: English and Turkish provided. English prevails for non-Turkish Users; Turkish version prevails for Turkish Users.
